Terms of Service
1. Agreement to these terms
These Terms of Service (the “Terms”) are an agreement between you and Delegance AI, Inc. (“Delegance AI”, “we”, “us”, “our”). They govern your use of Alinery — the alignment IDE — along with this website, the Alinery waitlist, and everything we provide alongside them (together, the “Service”).
By joining the waitlist, installing or using Alinery, or otherwise using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
If you use Alinery on behalf of a company or other organization, you confirm that you have the authority to bind that organization to these Terms, and “you” means both you and that organization.
Our Privacy Policy explains how we handle personal data and forms part of these Terms.
2. Who can use Alinery
You must be at least 16 years old and able to enter into a binding contract to use the Service. If you are 16 or older but under the age of majority where you live, you may only use the Service with the involvement of a parent or legal guardian who agrees to these Terms.
You may not use the Service if you are barred from doing so under any law that applies to you, including applicable sanctions and export control laws.
Access to Alinery is currently by invitation, and we may decline or withdraw an invitation at our discretion. See section 3.
3. The waitlist and the private beta
Alinery is in private beta. It is not generally available, and it is not a finished product.
The waitlist
When you join the waitlist you give us a work email address. We use it to contact you about beta access and related product updates, and we handle it as described in our Privacy Policy. You can ask us to remove you at any time.
Joining the waitlist does not entitle you to access. It is a request, not a reservation.
Beta access
- Access to the private beta is invitation-only and granted entirely at our discretion. We are not obliged to explain why access was or was not granted.
- We may modify, limit, suspend, or withdraw beta access at any time, with or without notice, including ending the beta program altogether.
- Invitations are personal to you. Do not pass your invitation or your access on to anyone who has not been invited.
Pre-release software
Alinery is pre-release software and may be unstable. It has not been through the testing, hardening, and support processes of a generally available product. Expect bugs, breaking changes, incomplete features, unexpected behavior, downtime, and the possibility of data loss.
Keep your work in version control and keep your own backups. Do not treat Alinery as the only copy of anything you care about.
Features you see in the beta may change substantially or disappear. Nothing in the beta, in our documentation, or in our communications is a commitment to ship any particular feature, on any particular timeline, at any particular price.
4. Your account and your responsibilities
Using Alinery may require an account. If you create one, give us accurate information and keep it up to date.
You are responsible for your account and for everything that happens under it, including keeping your credentials secure. Tell us promptly if you believe your account has been used without your permission.
You are also responsible for your own working environment: the machine you install Alinery on, the repositories and files you point it at, the third-party accounts and API keys you connect to it, and anything you build, run, or deploy with its help.
5. Acceptable use
Use Alinery to build software. The following are not allowed:
- Reverse engineering. Do not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of Alinery, except to the extent that this restriction cannot be enforced under the law that applies to you.
- Reselling. Do not resell, sublicense, rent, lease, distribute, or otherwise make Alinery available to a third party, whether on its own or as part of a service you offer.
- Building a competing product. Do not use Alinery, or non-public information you learn through it, to build, train, or improve a product that competes with it.
- Unlawful use. Do not use the Service to break the law, or to infringe or misappropriate anyone else's intellectual property, privacy, or other rights.
- Circumventing limits. Do not work around rate limits, usage limits, access controls, licensing checks, invitation gates, or any other technical or contractual limit on the Service.
- Malicious code. Do not use Alinery to write, assemble, or distribute malware, ransomware, spyware, credential harvesters, or exploits intended to cause harm, and do not use it to attack, probe, or gain unauthorized access to systems you are not authorized to test.
- Interfering with the Service. Do not disrupt or degrade the Service or the infrastructure behind it, introduce malicious code into it, or conduct security testing against it without our prior written permission.
- Automated extraction. Do not scrape, harvest, or bulk-extract data from the Service other than through interfaces we provide for that purpose.
- Misrepresentation. Do not impersonate anyone, misrepresent your affiliation, use another person's account or invitation, or remove or obscure any proprietary notice in Alinery.
If we reasonably believe you are doing any of this, we may suspend or terminate your access under section 13.
6. Your code and your content
Your code is yours. We claim no ownership of it.
“Your Content” means everything you write, open, upload, generate, or otherwise process through Alinery: source code, repositories, files, prompts, instructions, configuration, notes, and documentation. As between you and us, you keep all right, title, and interest in Your Content, including every intellectual property right in it. Nothing in these Terms transfers ownership of Your Content to us, and nothing in them gives us a claim over what you build.
The license you give us
To run the Service, we sometimes need to handle Your Content. You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, and process Your Content solely to operate, secure, and support the Service for you — for example, to send the parts of your code you have chosen to a model provider so that a request you made can be answered.
That is the whole scope of the license. It does not permit us to use Your Content to train our own models, to sell it, or to use it for any purpose unrelated to providing the Service to you. It lasts only as long as we need it to provide the Service, and it ends when Your Content is deleted or you stop using the Service, apart from copies held in routine backups until they expire.
Your side of it
You are responsible for having the rights you need in Your Content, and for making sure that processing it through Alinery is permitted — by your employer, your clients, your licenses, and any law or contract that applies to you. Do not put content through Alinery that you are not allowed to share with a third-party service.
Where the Service transmits Your Content to a model provider or another integration you have configured, that provider's terms apply to what it receives. See section 8.
7. AI-generated output
Alinery helps you produce code and other material using AI models (“Output”). As between you and us, Output generated for you is yours, and we claim no ownership of it. Output is subject to the terms of the model provider that produced it, and similar or identical output may be generated for other people.
Models get things wrong. Output may be inaccurate, insecure, inefficient, out of date, or simply unsuitable for what you are doing. It may resemble existing code, and it may be subject to third-party rights or open-source license obligations.
You are responsible for reviewing, testing, and validating Output before you rely on it, commit it, run it, or ship it. Alinery is built to help you think clearly about what you are building; it is not a substitute for your own engineering judgement, code review, or testing. Take particular care before using Output in anything safety-critical, security-sensitive, or regulated.
We do not warrant that Output is accurate, original, secure, or free of third-party rights.
8. Third-party services and model providers
Alinery is designed to work with tools you already use: AI model providers and coding harnesses, version control hosts, project management tools, and other integrations you choose to connect.
When you connect a third-party service, your use of it is governed by that provider's own terms and privacy policy, not ours, and content you send through it is handled under their terms. Please read them. You are responsible for your own accounts, API keys, usage, and charges with those providers.
We do not control third-party services and we are not responsible for their availability, security, pricing, or output. If a provider changes, restricts, or discontinues its service, parts of Alinery may change or stop working, and that is outside our control.
9. Our intellectual property
Alinery itself belongs to us. Delegance AI and its licensors own the Alinery application, this website, their design, code, interfaces, documentation, and branding, together with all intellectual property rights in them.
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use Alinery for its intended purpose — developing software for yourself or for the organization you represent — for as long as your access lasts.
You get no rights other than those we grant expressly here. “Alinery”, “Delegance AI”, and our logos are our marks; do not use them without our permission, except to refer accurately to the product.
Any third-party or open-source components included in Alinery are licensed under their own terms, which apply to those components.
10. Feedback
Feedback during a private beta is genuinely useful, and we would like as much of it as you are willing to give. You are never obliged to give any.
If you send us feedback, suggestions, bug reports, feature requests, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose, including building and improving our products, with no obligation, compensation, credit, or confidentiality on our side.
Please do not send us feedback that contains confidential information, or anything you are not free to share.
11. Telemetry
Alinery collects telemetry about how the application is used, which we use to find problems and improve the product. You can turn telemetry off in Settings.
What we collect, why, how long we keep it, and what your choices are is set out in our Privacy Policy.
12. Fees and paid plans
Alinery is free during the private beta. There is nothing to pay, and we will not charge you retroactively for beta access.
We expect to introduce paid plans. If we start charging for something you are using, we will give you reasonable advance notice, and you will be able to decide whether to continue on a paid plan or stop using the paid part of the Service before any charge applies. Paid plans will have their own additional terms covering billing, taxes, renewals, and refunds.
Costs you incur with third-party model providers or other services you connect are yours, and are separate from anything you may pay us. See section 8.
13. Term and termination
These Terms apply from the moment you first use the Service and continue until they are terminated.
You can stop at any time: stop using Alinery, uninstall it, and ask us to close your account or remove you from the waitlist.
We may suspend or terminate your access at any time, including if you breach these Terms, if we reasonably believe your use creates a risk to the Service or to others, if we end the beta program, or if we discontinue Alinery. Where it is practical and lawful to do so, we will give you notice.
When your access ends, your license to use Alinery ends and you must stop using it. Your Content remains yours — it lives in your own repositories and on your own machines. How we retain or delete anything we hold is covered in our Privacy Policy.
The sections that by their nature should outlast the agreement do so, including sections 6, 7, 9, 10, 14, 15, 16, 18, and 19.
14. Disclaimer of warranties
The Service is provided “as is” and “as available”, without warranty of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all implied warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Alinery is pre-release beta software, and you should treat it that way. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free; that defects will be corrected; that it will meet your requirements; or that any Output will be accurate, secure, original, or fit for your purpose. Beta software can fail, and it can lose data.
You are responsible for maintaining version control and your own backups of anything you would not want to lose.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
15. Limitation of liability
To the maximum extent permitted by law, Delegance AI will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, or data — including lost or corrupted code — arising out of or relating to the Service, even if we have been advised that such damages were possible.
Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred United States dollars (US$100). Because Alinery is free during the private beta, that cap will usually be US$100.
These limits apply regardless of the legal theory on which a claim is based, and even if a limited remedy is found to have failed its essential purpose. They are a fundamental part of the agreement between us, particularly given that we provide the private beta free of charge.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for fraud, for fraudulent misrepresentation, or for death or personal injury caused by negligence. Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.
16. Indemnification
You agree to defend, indemnify, and hold harmless Delegance AI and its officers, directors, employees, and agents from and against any claim, demand, damage, loss, liability, cost, or expense (including reasonable legal fees) arising out of or relating to:
- your use of the Service;
- Your Content, or Output you use, ship, or rely on;
- your breach of these Terms or of any law that applies to you; or
- your infringement or misappropriation of a third party's rights.
We will notify you of any claim covered by this section, give you control of the defense and settlement with counsel that is reasonably acceptable to us, and cooperate with you at your expense. You may not settle a claim in a way that imposes any obligation, payment, or admission on us without our prior written consent.
17. Changes to the service and these terms
Alinery is under active development. We may add, change, or remove features at any time, and during the private beta we will do so often.
We may also update these Terms. When we do, we will post the updated version here with a new “Last updated” date. If a change is material, we will give you reasonable notice before it takes effect — by email or in the application — so that you have a chance to read it.
Changes are not retroactive. If you keep using the Service after an update takes effect, you accept the updated Terms. If you do not agree with them, stop using the Service.
18. Governing law and disputes
These Terms and any dispute arising out of them or the Service are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You and we agree that the state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and both of us consent to personal jurisdiction and venue there.
If something goes wrong, please contact us first. Most problems are quicker to resolve by email than in court, and we would rather hear about them.
19. General terms
These Terms, together with our Privacy Policy and any additional terms we present for a specific paid plan or feature, are the entire agreement between you and us about the Service, and they replace any earlier understanding on the subject.
If any provision is found unenforceable, it will be limited or removed to the minimum extent necessary and the rest of these Terms will remain in effect. If we do not enforce a provision straight away, we do not waive our right to enforce it later.
You may not assign or transfer these Terms without our prior written consent. We may assign them to an affiliate, or in connection with a merger, acquisition, or sale of assets. These Terms bind and benefit each party's permitted successors.
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and us, and they do not give rights to anyone other than you and us.
